Due Diligence
SeaCap will undertake an assessment of its client's financials, corporate strategy, portfolio performance (if applicable) and capital structure. SeaCap will also work with management to create detailed financial projections.

Maximize Value
SeaCap will work with management to define the appropriate sale process and position the company in the marketplace in order to maximize value for its shareholders.

Partnership Criteria
SeaCap will work with its clients to determine the criteria that SeaCap will use to identify potential partners.

Prepare Confidential Memorandum
SeaCap will work with management to write a comprehensive description of the Company. This includes a review and analysis of the company’s business, financial position, investment products/services and overall value proposition.

Identify Partners
SeaCap will use the criteria jointly developed with management to identify financial institutions that have an interest in exploring a possible partnership with our client.

Deal Negotiation
SeaCap will negotiate, on its client’s behalf, all aspects of the transaction – deal value, earnouts, profits interests, escrow, and accounting and tax treatments of sale. SeaCap will also assemble a supporting legal and accounting team.

Coordinate Closing
SeaCap will work with its client’s counsel to help finalize the terms of the transaction and ensure that the definitive agreement will be signed within the pre-determined schedule.
